Welcome to Plate.do. These Terms of Service ("Terms") govern your use of the Plate.do website and application (the "Service") operated by Prota Labs ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Description of Service

Plate.do is a productivity platform that helps users organize their time, tasks, and notes. The Service includes:

  • Task and note creation, organization, and management
  • Time blocking and scheduling features
  • Zones for categorizing and grouping work
  • Collaboration features including task assignments and sharing
  • Third-party integrations with services such as Asana, Monday.com, Linear, Trello, and Basecamp
  • AI-assisted features for productivity enhancement
  • Push notifications and alerts

2. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover any unauthorized use of your account

You are responsible for all activities that occur under your account. You may not share your account credentials or allow others to access your account.

3. Subscriptions and Payments

Some features of the Service require a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide valid payment information
  • Authorize us to charge your payment method on a recurring basis

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

We reserve the right to change subscription fees upon reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new fees.

4. User Content

You retain ownership of all content you create, upload, or store through the Service ("User Content"), including tasks, notes, comments, and attachments. By using the Service, you grant us a limited license to:

  • Store, display, and process your User Content to provide the Service
  • Share your User Content with other users you have authorized through collaboration features
  • Create backups of your User Content for data protection purposes

You are solely responsible for your User Content and represent that you have all necessary rights to upload and share it.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Transmit harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Harass, abuse, or harm other users
  • Use the Service for any illegal or unauthorized purpose
  • Abuse third-party integrations or exceed API rate limits
  • Scrape, crawl, or use automated means to access the Service without permission

6. Third-Party Integrations

The Service allows you to connect with third-party services such as Asana, Monday.com, Linear, Trello, and Basecamp. When you enable these integrations:

  • You authorize us to access and sync data from those services on your behalf
  • You are responsible for complying with the terms of service of those third-party providers
  • We are not responsible for the availability, accuracy, or functionality of third-party services

7. Collaboration and Sharing

The Service includes features that allow you to share your content and collaborate with others. When you share content or grant access to your "Plate":

  • You are responsible for managing access permissions appropriately
  • You should only share content you have the right to share
  • You accept that shared content may be viewed, copied, or modified by authorized collaborators

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Prota Labs and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may export your data before termination. After termination, we may delete your User Content in accordance with our data retention practices.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROTA LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Prota Labs and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service, your User Content, or your violation of these Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Prota Labs is established, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
